The Most Common Legal Forms of Costa Rica

Trying to understand legal forms and legal concepts in your own country is sometimes a daunting task now imagine understanding the forms and concepts of a foreign country with a different legal system then your own.

I prepared this book in order to provide a helpful guide to understanding some of the most common legal forms that you may encounter if you plan to live, invest, do business or retire in Costa Rica. Costa Rica is based on the Civil Law system which was adopted from Spain. The Civil Law system has certain nuances which are not found in the Common Law system of England which is based on case precedent.

The most important distinction regarding the use and execution of legal forms is the concept of the Notary Public. In the United States and United Kingdom the role of the Notary Public is extremely limited. Their role is generally limited to the acknowledgement and authentication of signatures. In the Civil Law system such as Costa Rica the role of the Notary Public has much more significance since they act as agents of the Government giving legal validity to documents. In Costa Rica the Notary Public must be a licensed Attorney and they are authorized to draft and interpret legal documents and contracts. In Costa Rica any document that transfers legal title from one person to another that requires registration in the Public Registry must be signed and recorded by a Notary Public. The Notary Public is given a Protocolo book that consist of two hundred pages. All documents that are required by law to be executed before a Notary Public must be entered in the Protocol book of the Notary to be valid. The Notary then makes an extract of that document and records it in the National Registry.

As such, there will be forms which Costa Rican law allows to be “private” documents in that the participation of a Notary is not mandatory. When the law specifically requires that the legal instrument be recorded then the document is deemed to be a “public” instrument and the participation of a local Notary Public will be mandatory.
